Terms of Service

1. Agreement

These Terms of Service ("Terms") form an agreement between you and ContextPath Ltd ("ContextPath", "we", "us") and govern your access to and use of our website, platform, and any desktop or other applications we provide (together, the "Service"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Where your access is provided through an organisation, a separate agreement between ContextPath and that organisation also applies and will prevail over these Terms in the event of any conflict.

2. The Service

ContextPath provides software for understanding, automating, and improving how organisations operate. Access is intended for authorised users within organisations that have a relationship with us. We may update, change, or discontinue features of the Service at any time.

3. Accounts and access

You are responsible for maintaining the confidentiality of your credentials and for activity that occurs under your account. You must notify us promptly of any unauthorised use. Access is provided to named, authorised users and may not be shared.

4. Licence to use applications

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to install and use our applications on devices you own or control, solely to access the Service for its intended purpose. This licence does not transfer any ownership rights to you.

You agree that you will not, and will not permit others to:

• copy, modify, distribute, sell, or lease any part of the Service or our software;
• reverse engineer, decompile, or attempt to extract source code, except to the extent this restriction is prohibited by law;
• circumvent or interfere with any security, authentication, or access-control features;

5. Acceptable use

You agree not to misuse the Service, including by attempting to gain unauthorised access, disrupting its operation, uploading malicious code, or using it in a way that infringes the rights of others or violates applicable law.

6. Intellectual property

The Service, including all software, content, and trademarks, is owned by ContextPath or its licensors and is protected by intellectual property laws. Except for the rights expressly granted in these Terms, no rights are transferred to you.

7. Third-party services

The Service may interoperate with third-party products and services. We are not responsible for those third parties, and your use of them is governed by their own terms.

8. Confidentiality

You may be given access to non-public information about the Service. You agree to keep such information confidential and to use it only as needed to use the Service.

To the fullest extent permitted by law, ContextPath will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, or data. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

11. Indemnity

You agree to indemnify and hold ContextPath harmless from claims arising out of your misuse of the Service or your breach of these Terms, to the extent permitted by law.

12. Term and termination

These Terms apply while you use the Service. We may suspend or terminate your access if you breach these Terms or where necessary to protect the Service or other users. On termination, the licence granted to you ends and you must stop using the Service.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "last updated" date above. Continued use of the Service after changes take effect constitutes acceptance.

14. Governing law

These Terms are governed by the laws of England & Wales, and the courts of England & Wales have exclusive jurisdiction over any dispute, subject to any mandatory rights you have under local law.
